Welcome to Out & Down. By using our website, purchasing a ticket, or listing an event, you agree to these Terms of Service.

1. Our Role

Out & Down acts as an Events Guide and Ticket Agent for independent culture. We provide the platform for discovery and ticketing, but the Event Organiser is solely responsible for hosting, managing, and executing the event itself.

2. Terms for Ticket Buyers

2.1 Checkout & Account Creation

  • Guest Checkout: You do not need an account to buy tickets—you can check out using just your email address.
  • Accuracy: You are responsible for providing a correct email address to ensure ticket delivery.
  • Optional Account: You may create an optional account to view and manage past orders easily.

2.2 Ticket Access & Entry

  • Delivery: Digital tickets are available for instant download on the confirmation page and sent via email.
  • Entry Method: Present your ticket as a printed PDF or display the digital QR code on your phone at the door.
  • Single Entry: QR codes are valid for single-entry only. Once scanned, the QR code becomes invalid.
  • Recurring Events: For recurring events (e.g., weekly classes), your ticket is valid only for the specific date selected during checkout.

2.3 Issues at the Door

If your ticket fails to scan (e.g., scanned twice or wrong date), you must speak directly to the Organiser’s on-site team. Out & Down is not responsible for door admission decisions made on-site by event staff.

2.4 Buyer Refunds & Cancellations

  • How to Request: Refund requests must be submitted directly to the Event Organiser via the contact details on the event listing page.
  • Cancelled Events: If an event is cancelled, buyers receive a full refund of the ticket price plus the 10% service fee.
  • Major Event Changes: If the date, venue, or headline act changes significantly, buyers have 7 days from the date of notification to request a full refund (ticket price + 10% service fee). All requests must be submitted at least 24 hours before the event starts, unless the change was announced within that 24-hour window (in which case requests are accepted up until the event start time).
  • Personal Refunds (e.g., Illness): Refunds for personal reasons are at the Organiser’s discretion and must be requested at least 24 hours before the event. The 10% service fee is non-refundable for personal refunds.

3. Terms for Event Organisers & Sellers

3.1 Event Listings & Approval

  • Free Listing: It is completely free to list events on Out & Down.
  • Review Process: Submitted listings and claimed venue pages are reviewed by our team within 48 hours. We reserve the right to decline or remove any listing.
  • Accuracy: Organisers are solely responsible for setting up accurate pricing, quantities, dates, and event descriptions.

3.2 Fees & Payouts

  • Service Fee: A 10% service fee is added to the ticket price paid by the buyer at checkout (Free £0 tickets carry no fee).
  • Site Wallet: All ticket revenue (minus the 10% service fee) accumulates in your site Wallet.
  • Withdrawals: Wallet funds become available for withdrawal to your linked PayPal account starting 3 working days after the event has passed.
  • Tax Obligations: Organisers are 100% responsible for reporting and paying all applicable taxes (VAT, income tax) on ticket income.

3.3 Door Management & Check-In

Organisers are responsible for managing entry using Ticket Management tools:

  • Sales Tab: View buyer lists, export reports, or resend tickets.
  • Scanner Tab: Use a mobile device camera to scan attendee QR codes (Green = Valid, Yellow = Used/Future Date, Red = Invalid/Expired).

3.4 Financial Responsibilities for Cancellations & Disputes

  • Cancelled Events & Major Changes: Organisers earn no revenue from cancelled events. Out & Down waives its 10% service fee to ensure the buyer receives a full refund, but Organisers remain responsible for non-refundable processing fees resulting from ticket refunds.
  • Chargebacks & Bank Disputes: If a buyer files a payment chargeback, the bank debits the disputed funds and penalty fees from Out & Down. The Organiser is fully responsible for reimbursing Out & Down for the disputed ticket amount and any associated bank fees.
  • Invoicing & Recovery: Out & Down will issue an invoice directly to the Organiser to recover any non-refundable processing fees, chargeback amounts, or dispute penalties. Invoices are due immediately upon receipt. We reserve the right to offset unpaid invoice balances against future event ticket sales.

4. Limitation of Liability

Out & Down acts strictly as a ticketing agent and software provider. To the maximum extent permitted by law, Out & Down shall not be liable for any indirect, incidental, special, or consequential damages arising from canceled events, venue disputes, injuries, property loss, or platform downtime.

Our total aggregate liability to any buyer, seller, or organiser for any claim arising out of or relating to these Terms shall not exceed the total platform service fees collected by Out & Down for the specific transaction in question.

5. Governing Law & Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales. You agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.
