Welcome to Bright Sparks (outanddown.com) By accessing our website, creating an account, listing an event, or purchasing a ticket, you agree to be bound by these Terms and Conditions (“Terms”). Please read them carefully.

1. About Bright Sparks

Bright Sparks operates as a local directory and online event ticketing platform (“Platform”).

  • Bright Sparks provides the technical infrastructure for Event Organisers (“Organisers”) to list events and sell tickets directly to Ticket Buyers (“Buyers”).
  • Contract of Sale: Bright Sparks is not the organiser, host, or owner of the events listed on the Platform (unless explicitly stated). When a Buyer purchases a ticket, the contract for the event service is strictly between the Buyer and the Organiser. Bright Sparks acts solely as an intermediary agent processing the transaction and ticket delivery.

2. Accounts & User Responsibilities

2.1 Account Creation

  • Buyers may purchase tickets as guests or through a registered account.
  • Organisers must create a free user account to submit event listings and sell tickets.
  • You agree to provide accurate, current, and complete information during registration and keep your account credentials secure.

2.2 Event Submissions & Approvals

  • All event listings submitted by Organisers are subject to review and approval by Bright Sparks (typically within 48 hours) before going live.
  • Bright Sparks reserves the right to decline, remove, or edit any listing that violates our community standards, contains misleading information, or breaches applicable laws.

3. Pricing, Fees, and Payments

3.1 Platform Service Fees

  • Buyer Fee: Bright Sparks charges a 10% service fee on top of the ticket price set by the Organiser. This fee covers secure payment processing, ticket hosting, and platform support.
  • Non-Refundable Fee: The 10% Bright Sparks service fee is strictly non-refundable to Buyers under all circumstances (including buyer cancellations and event refunds).

3.2 Free Tickets

Organisers may issue free tickets (£0 ticket price) to manage attendance capacity. No service fees apply to free tickets.

4. Buyer Refund & Cancellation Policy

All event ticket purchases made through Bright Sparks are subject to the following baseline refund policy:

4.1 Event Cancellations

If an event is completely cancelled by the Organiser, Buyers are entitled to a 100% refund of the face value ticket price.

4.2 Major Event Changes

If an event undergoes a significant change (defined as a major change to the event date, venue, or headline act), Buyers have a 48-hour window from the time of the announcement notice to request a full refund of the ticket price from the Organiser.

4.3 Personal Buyer Circumstances (Organiser Discretion)

If a Buyer is unable to attend an event due to personal reasons (e.g., illness, personal emergency, scheduling conflict):

  • Refunds are entirely at the Organiser’s discretion.
  • Refund requests must be submitted directly to the Organiser via the contact information on the event listing page at least 24 hours prior to the event start time.

4.4 Non-Refundability of Service Fees

The 10% Bright Sparks service fee is non-refundable.

5. Organiser Earnings, Wallets, and Payouts

5.1 The Wallet System

Proceeds from ticket sales (excluding the 10% service fee) are credited to the Organiser’s digital Wallet on the Platform. The Wallet is a virtual accounting ledger and does not generate interest.

5.2 Payout Schedule & Eligibility

To protect against fraud, cancellations, and disputes:

  • Organisers may request a payout of their Wallet balance 3 working days after the event has successfully taken place.
  • Payouts are made via PayPal. Organisers are responsible for supplying valid PayPal account credentials in their account settings.

5.3 Organiser Responsibility for Mass Cancellations & Bank Fees

In the event of a mass refund or event cancellation, the Organiser is responsible for refunding ticket face values to Buyers. Organisers agree to reimburse or cover any unrecoverable bank, credit card processing, or transaction fees incurred by Bright Sparks in executing those bulk reversals.

6. Chargebacks, Disputes, and Clawback Rights

6.1 Liability for Payment Disputes

The Organiser assumes ultimate financial liability for all payment disputes, fraudulent claims, or bank chargebacks filed by ticket buyers in relation to their event.

6.2 Wallet Holds & Deductions

If a payment dispute or chargeback is lodged by a buyer’s bank, Bright Sparks will freeze the disputed amount. Bright Sparks reserves the right to deduct the disputed sum—along with any non-refundable chargeback penalty fees charged by the payment gateway (typically £15–£20)—directly from the Organiser’s Wallet balance.

6.3 Clawback of Withdrawn Funds

If a chargeback or dispute occurs after the Organiser has already withdrawn funds from their Wallet:

  1. The Organiser legally agrees to repay Bright Sparks the full disputed amount plus all associated bank dispute fees.
  2. Bright Sparks will issue an invoice for the outstanding negative balance, which the Organiser must pay in full within fourteen (14) calendar days of issuance.

6.4 Right of Set-Off

If an Organiser fails to settle a negative balance, Bright Sparks retains the Right of Set-Off. Bright Sparks may automatically deduct owed amounts from any current or future ticket sales across any event listed by the Organiser on the Platform. Bright Sparks also reserves the right to suspend the Organiser’s account and pursue legal remedies to recover outstanding debts.

6.5 Evidence and Scanning Proof

Organisers are strongly advised to use the Bright Sparks QR Code Scanner Tool at entry doors. In the event of a chargeback dispute, Organisers agree to provide requested attendance evidence (such as digital scanner logs) within 48 hours. Failure to supply requested evidence may result in an automatic loss of the dispute, with full financial liability falling on the Organiser.

7. Event Attendance & Ticket Validation

  • Validation: Entry to an event requires presentation of a valid digital or printed ticket QR code. Organisers scan and validate tickets via the Platform’s Scanner tool.
  • Single Use: Tickets are valid for single entry only (or designated dates for recurring events). Tickets flagged as “Already Used,” “Expired,” or “Not Valid” by the scanning software may be refused entry at the Organiser’s discretion.
  • Organiser Rules: Attendees must comply with the venue and Organiser’s individual rules of conduct. Organisers reserve the right to refuse entry without refund for unruly behavior.

8. Limitation of Liability

  • Platform Availability: Bright Sparks strives for continuous platform uptime, but does not guarantee uninterrupted access to website listings or ticket sales tools.
  • Event Quality & Safety: Bright Sparks is not responsible for event health and safety, licensing, cancellations, venue conditions, or the quality of any event listed on the site.
  • Maximum Liability: To the maximum extent permitted by UK law, Bright Sparks’ total legal liability to any Buyer or Organiser for damages arising out of or related to the service shall not exceed the total amount of fees collected by Bright Sparks for the specific transaction in question.

9. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any legal disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
